It may include features such as Mission Control, Preflight Check, Trade Clearance, Flight Log, Black Box Replay, Debrief, Pattern Radar, Trader DNA, Voice Stress Scan, Event Radar, P&L tracking, calendar history, Flight Rules, No-Fly Zones, and Capital Protection Mode.

Tradjent does not execute trades, provide brokerage services, manage assets, hold customer funds, provide personalized investment advice, guarantee outcomes, or prevent users from accessing their brokerage accounts.

B. Terms of Use

These Terms of Use ("Terms") govern your access to and use of Tradjent, including our mobile applications, website, software, content, features, subscriptions, data tools, artificial intelligence features, audio and voice analysis features, trade journaling tools, and related services (collectively, the "Service").

By creating an account, accessing the Service, starting a subscription, using any feature, or clicking "I agree," you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

You must be at least 18 years old and legally able to enter into these Terms to use Tradjent. By using the Service, you represent that you are at least 18 and that you are using the Service for personal, lawful purposes.

You are responsible for the accuracy of your account information, including your name, email, trading preferences, risk settings, and subscription information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2. No Financial, Investment, Tax, Legal, or Professional Advice

Tradjent is not a financial advisor, investment adviser, broker-dealer, securities exchange, futures commission merchant, commodity trading advisor, tax advisor, attorney, or fiduciary. The Service is provided for journaling, behavioral awareness, educational, analytical, and personal decision-support purposes only.

Nothing in the Service is financial advice, investment advice, trading advice, tax advice, legal advice, or a recommendation to buy, sell, hold, enter, exit, hedge, or avoid any security, option, future, cryptocurrency, foreign exchange instrument, commodity, contract, or other financial product.

You remain solely responsible for your trading decisions, orders, executions, losses, gains, risk management, account settings, brokerage activity, and tax obligations. You should consult appropriately licensed professionals before making financial, legal, tax, or investment decisions.

3. Trading Risk Disclosure

Trading involves substantial risk and may result in the loss of some or all of your capital. Day trading, options trading, futures trading, margin trading, short selling, forex trading, cryptocurrency trading, and leveraged trading are especially risky and may not be suitable for all users.

Past performance, simulated performance, backtested results, journaled results, AI-generated analysis, behavioral scores, clearance statuses, pattern labels, or historical statistics do not guarantee future results.

You understand and agree that Tradjent may identify behavior patterns or risk conditions, but those outputs are not instructions, trade signals, guarantees, or predictions of market performance.

4. AI, Automation, and Behavioral Analysis

The Service may use artificial intelligence, machine learning, rules engines, natural language processing, transcription tools, audio analysis, and statistical models to analyze trade notes, voice recordings, trading behavior, emotions described by the user, timing patterns, P&L, rule adherence, and other data you provide.

AI outputs may be incomplete, inaccurate, outdated, misleading, overconfident, or unsuitable for your circumstances. You must independently review all AI-generated outputs before relying on them. You should not use AI outputs as the sole basis for any trading or financial decision.

Feature names such as Trade Clearance, Clear, Caution, Grounded, Preflight Check, Grounded Mode, Capital Protection Mode, Edge Lock, Trader DNA, Voice Stress Scan, Pattern Radar, No-Fly Zone, or similar labels are product interface labels. They do not represent financial advice, medical advice, psychological diagnosis, brokerage restrictions, or guaranteed risk controls.

5. Trade Clearance and Grounded Mode

Trade Clearance statuses such as Clear, Caution, or Grounded are generated from user-defined rules, trade history, behavior patterns, voice/transcript signals, market-event settings, and other available data. They are informational only.

Tradjent cannot and does not prevent you from trading through any broker, exchange, trading platform, or financial institution. Grounded Mode, Capital Protection Mode, cooldowns, warnings, and No-Fly Zones are recommended behavioral guardrails only.

6. Event Radar and Market Data

Event Radar may display economic events, earnings events, market calendars, high-impact market events, and related informational data. Event information may be delayed, incomplete, inaccurate, or unavailable. Users must verify event information independently through primary sources, brokers, exchanges, and official economic calendars.

Event Radar does not predict market direction and does not recommend trades. It is designed to help users become aware of scheduled events that may affect volatility or trading conditions.

7. P&L, R-Multiple, Calendar, and Analytics

The Service may allow users to track P&L, R-multiple, trade count, calendar history, setup performance, clearance-history performance, and other analytics. User-entered P&L and imported data may contain errors. You are responsible for verifying all trade, performance, tax, and account records against your broker or official statements.

Tradjent is not a tax reporting system, official broker statement, accounting ledger, or audit record. Do not rely on Tradjent as the sole source for tax filings, regulatory reporting, disputes, or financial records.

8. Voice, Audio, and Transcript Features

If you use voice or audio features, you authorize Tradjent to access your device microphone, record audio when you actively initiate recording, create transcripts, store audio references if enabled, analyze transcripts, and generate behavioral or voice-related insights.

Tradjent should not listen in the background unless a future version clearly discloses that functionality and obtains any required consent. The current intended model is active, user-initiated recording only.

Voice Stress Scan and similar features do not diagnose stress, anxiety, anger, mental health, medical conditions, or fitness to trade. Voice-related outputs are behavioral signals and product estimates only, such as speech pace, pause pattern, urgency indicators, transcript sentiment, or deviation from baseline.

9. User Content

You may submit, upload, record, or store trade notes, screenshots, voice notes, transcripts, trading plans, rules, calendar entries, P&L data, reflections, feedback, and other content ("User Content"). You retain ownership of your User Content, subject to the license you grant us to operate, improve, secure, analyze, and provide the Service.

You grant Novatrax a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, process, transmit, display, reproduce, analyze, modify for formatting, and use your User Content as necessary to provide, maintain, protect, improve, and develop the Service, subject to our Privacy Policy.

You represent that you have the rights necessary to submit User Content and that your User Content does not violate law, infringe rights, reveal confidential third-party information, or include unlawful, harmful, or abusive material.

10. Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes:

Using the Service for unlawful, fraudulent, abusive, harassing, defamatory, or harmful activity.

Attempting to reverse engineer, scrape, overload, interfere with, bypass, or compromise the Service.

Uploading malware, malicious code, illegal content, or content that infringes third-party rights.

Using the Service to provide unlicensed investment advice, paid trading signals, pump-and-dump schemes, coordinated market manipulation, or misleading investment claims.

Misrepresenting AI outputs, screenshots, metrics, or performance as verified results or guaranteed outcomes.

11. Intellectual Property

Novatrax and its licensors own the Service, including software, user interface, design, trade names, logos, trademarks, features, workflows, AI prompts, scoring frameworks, content, and documentation, except for User Content and third-party materials. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, lawful use in accordance with these Terms.

12. Beta Features and Changes

Some features may be experimental, beta, incomplete, or subject to change. We may modify, suspend, discontinue, limit, rename, or replace features at any time. We may also update models, scoring logic, risk categories, subscription tiers, and user interface flows.

13. Third-Party Services

The Service may integrate or rely on third-party services, such as app stores, payment processors, cloud providers, analytics tools, AI providers, transcription providers, market data providers, notification services, calendar data providers, or brokerage-related services. We are not responsible for third-party services, data, downtime, errors, or policies.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVATRAX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, AND ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE SERVICE WILL PREVENT LOSSES, IMPROVE TRADING RESULTS, IDENTIFY ALL RISKS, DETECT ALL EMOTIONAL STATES, OR OPERATE WITHOUT INTERRUPTION OR ERROR.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVATRAX GLOBAL LLC, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, TRADING LOSSES, INVESTMENT LOSSES, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO NOVATRAX FOR THE SERVICE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.

16. Indemnification

You agree to defend, indemnify, and hold harmless Novatrax Global LLC and its owners, officers, employees, contractors, affiliates, service providers, and licensors from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your use of the Service, User Content, trading activity, violation of these Terms, violation of law, or infringement of third-party rights.

17. Arbitration, Class Action Waiver, and Governing Law

No class actions. To the maximum extent permitted by law, disputes must be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding.

18. Termination

We may suspend or terminate access to the Service if you violate these Terms, create risk or legal exposure, misuse the Service, fail to pay fees, or if we discontinue the Service. You may stop using the Service at any time and may request account deletion as described in our Privacy Policy.

19. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as required by law, such as by posting the updated Terms, updating the effective date, or providing in-app or email notice. Continued use after changes become effective means you accept the revised Terms.

C. Trading, AI, Voice, and Behavioral Analysis Disclosures

1. Required User-Facing Trading Disclaimer

Tradjent is a journaling, behavioral analysis, and decision-support application. Tradjent does not provide investment advice, trade signals, financial recommendations, brokerage services, tax advice, legal advice, or guaranteed trading outcomes. All trading decisions are your responsibility.

Trading involves substantial risk. You can lose money, including your entire trading account. Tradjent may help identify patterns in your behavior, but it cannot predict markets, prevent losses, or guarantee that following rules will produce profits.

2. Required AI Disclaimer

AI-generated outputs are estimates based on available data, user inputs, rules, transcripts, trade history, and model interpretation. They may be wrong. You must review and verify AI outputs before relying on them.

AI analysis should be framed as behavioral insight, not trading instruction. Use phrases such as "your process appears to show," "based on your logged data," "this trade may carry elevated behavioral risk," and "review before acting."

3. Required Voice Stress Scan Disclaimer

Voice Stress Scan analyzes trade notes and optional audio metrics such as pace, pauses, filler words, transcript language, and deviation from baseline. It does not diagnose stress, anxiety, anger, mental health, or medical conditions. It does not determine whether a user is fit or unfit to trade.

Recommended safe labels: Voice urgency elevated, pace above baseline, hesitation detected, FOMO language detected, confidence appears lower than usual, transcript indicates frustration, or proceed with caution. Avoid clinical or definitive labels such as anxious, mentally unstable, emotionally unsafe, or unfit to trade.

4. App UI Copy Rules

Say: "Recommended stand-down." Do not say: "You are blocked from trading."

Say: "This violates your rules." Do not say: "This trade will lose."

Say: "High-impact event nearby." Do not say: "Market will move."

Say: "Voice urgency elevated." Do not say: "You are stressed."

Say: "AI may be wrong. Review before saving." Do not hide uncertainty.

D. Subscription, Billing, Refund, and Cancellation Terms

Some features may require a paid subscription, such as Tradjent Pro or other paid tiers. Subscription terms should be disclosed at purchase, including price, billing period, renewal terms, trial terms, cancellation instructions, and any limitations.

1. Auto-Renewal

Paid subscriptions may automatically renew unless canceled before the renewal date. If a subscription is purchased through Apple App Store or Google Play, billing, renewal, cancellation, and refunds are generally handled by the applicable app store account settings and policies.

2. Cancellation

Users may cancel subscriptions through the platform where they purchased the subscription. Canceling a subscription stops future renewal but does not necessarily provide a refund for the current billing period unless required by law or the applicable app store’s policy.

3. Refunds

Refund eligibility may depend on applicable law, app store policy, and payment processor rules. Novatrax may not control refunds for subscriptions purchased through third-party app stores. Users should contact the relevant app store or payment provider for refund requests when required.

4. Plan Changes

We may add, remove, or change subscription tiers, pricing, limits, and features. Any material changes will be disclosed as required by law or platform policy.

E. Privacy Policy

Trading journal information: symbols, trade direction, asset type, setup type, entry and exit times, P&L, R-multiple, screenshots, notes, rules, debriefs, calendar history, strategy categories, and trading preferences.

Behavioral analysis information: Preflight Check data, clearance status, fault stacks, rule adherence, Trader DNA archetypes, No-Fly Zones, Voice Risk Score, FOMO indicators, revenge-trade indicators, and related analytics.

Voice and audio information: voice notes, audio files if stored, transcripts, speech pace, pauses, filler words, baseline metrics, and other voice-derived metrics if enabled.

Device and usage information: device type, operating system, app version, IP address, log data, crash reports, pages viewed, buttons tapped, feature usage, and diagnostic data.

Payment information: subscription status, plan type, transaction identifiers, renewal status, and limited billing metadata. Full payment card details are typically processed by app stores or payment processors.

Market/event preference information: economic-event filters, alert settings, markets/currencies followed, ticker watchlists, and event rules.

2. Sensitive Data Notice

Tradjent may process data that users may consider sensitive, including trading behavior, financial performance information, audio recordings, voice transcripts, behavioral-risk indicators, and emotional-state labels selected or described by the user. We do not intend to collect medical information, mental health diagnoses, biometric identifiers for identification, or protected health information unless a future feature clearly states otherwise and obtains required consent.

3. How We Use Information

We may use information to:

Provide, operate, maintain, personalize, and improve the Service.

Create trade logs, Black Box Replays, Debriefs, Pattern Radar, Trader DNA, Event Radar, and Flight Rules.

Generate AI analysis, transcript extraction, behavioral scoring, clearance status, fault stacks, and voice-related insights.

Process subscriptions, provide support, send service notices, and manage account settings.

Secure the Service, prevent abuse, troubleshoot errors, and improve performance.

Develop new features, train or evaluate models where permitted, and analyze aggregated or de-identified trends.

Comply with legal obligations and enforce our Terms.

4. AI Providers and Model Training

If we use third-party AI, transcription, cloud, analytics, or data-processing vendors, user data may be processed by those vendors only as necessary to provide the Service and subject to applicable contractual restrictions. The production privacy policy should name material vendors or categories of vendors and disclose whether user content is used for model training.

Recommended default: Do not use identifiable user trade records, audio, transcripts, or sensitive behavioral data to train third-party foundation models unless users clearly opt in or counsel approves the disclosure and consent flow.

5. How We Share Information

We may share information with:

Service providers that host, process, transcribe, analyze, secure, or support the Service.

Payment processors and app stores to manage purchases and subscriptions.

Analytics and crash-reporting providers to understand app performance and diagnose issues.

Legal, compliance, safety, and security parties where required by law, legal process, or to protect rights, safety, and security.

Business transaction parties if Novatrax is involved in a merger, acquisition, financing, reorganization, sale of assets, or similar transaction.

We do not sell personal information in the ordinary meaning of exchanging it for money. If future advertising or cross-context behavioral advertising is used, additional disclosures and opt-out rights may be required.

6. Data Retention

We retain personal information for as long as reasonably necessary to provide the Service, comply with legal obligations, resolve disputes, enforce agreements, maintain security, and support legitimate business purposes. Users should be able to delete certain trade records and request account deletion, subject to legal, security, backup, and accounting retention requirements.

7. Security

We use reasonable administrative, technical, and physical safeguards designed to protect information. No system is completely secure. Users are responsible for protecting their account credentials and device access.

Recommended controls: encryption in transit, encryption at rest where available, least-privilege access, secure authentication, secure API keys, audit logging for sensitive data access, deletion workflows, vendor due diligence, and incident response procedures.

8. User Choices and Rights

Depending on location, users may have rights to access, correct, delete, export, or restrict certain personal information, and to opt out of certain uses. Users may contact info@novatraxglob.com to make requests. We may need to verify identity before fulfilling requests.

9. California Privacy Notice

California residents may have rights under California privacy laws, including the right to know, delete, correct, opt out of sale or sharing, limit certain sensitive personal information uses, and non-discrimination for exercising privacy rights, subject to legal exceptions. The final policy should include a California-specific chart of categories collected, purposes, sources, disclosures, retention, and whether information is sold/shared if the law applies to Novatrax.

10. Children’s Privacy

Tradjent is intended for adults 18 and older. We do not knowingly collect personal information from children under 13 or knowingly allow users under 18 to use the Service. If we learn that an underage user has provided information, we may delete it and terminate the account.

11. International Users

If users access Tradjent from outside the United States, information may be processed in the United States and other countries where we or our service providers operate. International privacy requirements, including GDPR/UK GDPR obligations, may require additional disclosures, lawful-basis analysis, data-processing agreements, and transfer safeguards.

F. Biometric, Voice, Audio, and Sensitive Data Notice

This notice should be shown in onboarding and near voice/audio features if Voice Stress Scan or similar functionality is enabled.

1. Active Recording Only

Tradjent should record audio only when the user actively taps a recording button or otherwise clearly initiates recording. The app should not listen in the background unless a future feature separately discloses that behavior and obtains any legally required consent.

2. What Voice Data Is Used For

Voice data may be used to transcribe trade notes, extract trade details, identify words or phrases suggesting urgency or rule-breaking, measure speech pace, detect pauses or filler words, compare future recordings to a personal baseline, calculate a Voice Risk Score, and create Black Box Replay insights.

3. What Voice Data Is Not Used For

Unless a future version clearly discloses and obtains required consent, Tradjent should not use voice data to identify a person, authenticate identity, create voiceprints for identification, diagnose medical or mental health conditions, infer protected characteristics, or determine whether someone is fit to trade.

4. Consent Language

Recommended user-facing consent: "By using Voice Stress Scan, you allow Tradjent to record your voice when you tap record, transcribe your note, analyze your words and basic speech patterns, and generate behavioral trading insights. Tradjent does not diagnose stress or mental health conditions and does not block your broker."

5. Retention and Deletion

Users should be able to delete voice notes, transcripts, and voice-derived metrics where technically feasible, subject to retention needed for security, legal, backup, or account integrity purposes. If audio storage is not needed, consider deleting raw audio after transcription and retaining only transcript and metrics.

The website and app may use cookies, device identifiers, SDKs, analytics, crash reporting, and similar technologies to operate, secure, improve, and measure the Service. If advertising, retargeting, or cross-context behavioral tracking is used, additional notice, consent, and opt-out mechanisms may be required.

H. Community, Feedback, and User Content Rules

If Tradjent later adds social, sharing, community, comments, groups, public profiles, or user-shared trade replays, additional moderation, reporting, safety, and anti-fraud rules will be required. Until then, feedback submitted to Novatrax may be used to improve the Service without compensation unless otherwise agreed.

Do not allow users to use Tradjent to promote pump-and-dump schemes, paid signal groups, unlicensed advisory services, fraudulent performance claims, or misleading investment promotions.

I. Security, Retention, and Data Deletion Policy

Internal Security Commitments

Use encryption in transit for app/API communications.

Encrypt sensitive data at rest where supported by infrastructure.

Restrict admin access to production user data using least-privilege permissions.

Keep API keys and secrets out of client-side code and source control.

Maintain logging and monitoring for suspicious access and abuse.

Create an incident response process before launch.

Create a vendor list and verify security/privacy terms for AI, transcription, hosting, payments, analytics, and support vendors.

Retention Defaults to Consider

Account data: retained while account is active and for a reasonable period after closure if needed for legal, security, tax, or fraud-prevention purposes.

Trade records: retained until user deletes them or account is deleted, subject to backup/legal exceptions.

Raw audio: minimize retention. Consider deleting raw audio after transcript generation unless users choose to save audio.

Transcripts and voice metrics: retained as part of trade history unless user deletes the trade or requests deletion.

Analytics logs: retain only as long as needed for security, diagnostics, and product improvement.

J. App Store Supplemental Terms

If Tradjent is distributed through Apple App Store or Google Play, additional platform terms may apply. App store subscriptions, refunds, cancellation, family sharing, restoration of purchases, app privacy labels, and in-app purchase rules must comply with the applicable platform requirements.

The app should include accurate privacy disclosures and app store data collection labels. Microphone access should have a clear permission purpose string, such as: "Tradjent uses your microphone only when you record trade notes for transcription and Voice Stress Scan."

Before Launch

Finalize Terms of Use with counsel, including governing law, arbitration, class waiver, and state-specific requirements.

Finalize Privacy Policy based on actual data flows, vendors, retention periods, and app store labels.

Confirm whether state privacy laws, CCPA/CPRA, GDPR/UK GDPR, biometric privacy laws, or financial-services rules apply.

Create a microphone/audio consent flow and deletion workflow.

Add in-app disclaimers: no financial advice, not a broker, not an investment adviser, no guaranteed outcomes.

Add AI disclaimer and user confirmation before relying on AI outputs.

Create user data export and deletion request process.

Document vendors and sign data-processing agreements where needed.

Create support process for subscriptions, account deletion, privacy requests, and legal notices.

Validate app store subscription cancellation and restore-purchase flow.

Run accessibility and security QA before app store submission.
